Bretzen Terms and Conditions
Effective and last updated October 20, 2026
These Terms and Conditions govern access to Bretzen.com and the business automation, communications, website, reputation, artificial intelligence, and related services provided by Bretzen LLC, a California limited liability company. They form a binding business-to-business agreement between Bretzen LLC and the business customer identified in an order form, checkout, proposal, invoice, or other ordering document.
1 Agreement and Business Use
By accessing the website, creating an account, signing an order form, completing checkout, or using any service, the customer agrees to these Terms, the applicable order form, the Privacy Policy, and the Refund and Cancellation Policy. If an individual accepts on behalf of a company or other entity, that individual represents that they are at least 18 years old and authorized to bind that entity.
Bretzen services are offered only for legitimate business use. They are not offered for personal, family, or household use. The customer and Bretzen may each be referred to as a Party and together as the Parties.
If an order form conflicts with these Terms, the order form controls only as to the specific commercial terms stated in it. The Refund and Cancellation Policy controls refund eligibility. The Privacy Policy controls Bretzen’s handling of personal information.
2 Services
Bretzen may provide one or more services selected by the customer, including:
· Bretzen Connect, which combines the AI Receptionist and All-in-One Business Inbox
· AI Receptionist call answering, lead qualification, appointment scheduling, frequently asked question responses, and follow-up
· AI Chat and Voice Website Assistant
· All-in-One Business Inbox and related communications tools
· Conversion-Focused Business Website design, hosting, forms, calendars, and related services
· Google Review Automation and response support
· Bretzen Client Platform access, CRM, pipelines, calendars, workflows, reporting, and integrations
The exact services, features, channels, allowances, fees, and implementation responsibilities are those shown in the applicable order form or checkout. Features may depend on third-party platforms and connected accounts. Bretzen may modify a service when reasonably necessary for security, legal compliance, third-party platform changes, or continued operation, provided that Bretzen does not materially reduce the core paid service without notice.
3 Bretzen Connect Setup and Billing
Bretzen Connect has a one-time $47 setup fee and a recurring fee of $247 per month unless a different written offer applies. The setup fee is charged at signup and is non-refundable, except when Bretzen cancels the order without customer breach before making the service available or when a refund is required by law.
The normal setup period is 14 days after signup. The first $247 monthly payment is normally charged 14 days after signup, after setup is complete. If Bretzen is responsible for a delay beyond 14 days, the first monthly charge will be postponed until Bretzen has configured the service and made it available to the customer for use or testing. If the delay results from the customer’s failure to provide information, approvals, access, content, integrations, or other reasonably requested cooperation, the first monthly charge may occur on day 14 even if setup is incomplete.
A service is ready when Bretzen has completed the configuration within its control and has made the service available to the customer for use or testing. Readiness does not depend on the customer completing testing, approving optional changes, generating leads, receiving a particular call volume, or achieving a business result.
4 Standalone AI Receptionist Trial
The standalone AI Receptionist may include a complimentary 14-day trial. Trial access is not automatic and is not granted at checkout. Bretzen reviews each application, may conduct a qualification call, and approves only businesses that appear operationally suitable for the service. Bretzen may decline an application for any lawful reason.
No payment method is required to begin the trial. The 14-day trial period does not begin at signup. It begins when Bretzen has configured the AI Receptionist and made it available to the customer for use. The trial does not convert automatically to a paid subscription. The customer may subscribe at any time during or after the trial. If the customer has not subscribed when the trial period ends, access to the service is suspended until the customer subscribes and pays the first monthly fee of $297, unless a different written offer applies.
A business is eligible for one trial unless Bretzen approves otherwise. Bretzen may limit or end a trial for fraud, abuse, excessive or prohibited use, security risk, or violation of these Terms. Usage and third-party carrier charges incurred during a trial may be excluded from the trial when disclosed to the customer.
5 Monthly and Annual Plans
Monthly plans renew automatically each month until cancelled. Annual plans are prepaid for the term shown in the order form and renew automatically for successive annual terms unless cancelled before the renewal date. Annual discounts, free months, waived setup fees, or other incentives apply only as stated in the order form.
Cancellation of a monthly or annual plan stops future renewals but does not create a refund or credit for the current billing period or unused time, except as stated in the Refund and Cancellation Policy or required by law. Bretzen may send renewal or billing notices electronically.
6 Promotional Pricing
Bretzen will not increase a promotional recurring base rate for as long as the same subscription remains continuously active and in good standing. Cancellation, suspension for nonpayment, or termination may end the promotional rate. A later reactivation is subject to the price then offered by Bretzen.
A locked promotional rate applies only to the recurring base price of the same service or bundle. It does not lock taxes, government assessments, carrier or registration fees, usage charges, overages, optional add-ons, extra telephone numbers, custom work, or services added later.
7 Usage Allowances and Additional Charges
Plans may include stated allowances for AI voice minutes, telephone minutes, telephone numbers, SMS or MMS segments, email, WhatsApp, artificial intelligence usage, storage, users, integrations, or other metered services. Schedule A and the applicable order form or checkout identify included allowances and overage rates. A text message may contain more than one billable segment, and third-party providers may separately assess registration, carrier, telephone, messaging, or other fees.
Bretzen will not impose an undisclosed overage rate. By accepting an order form that states allowances and rates, the customer authorizes Bretzen to charge usage above those allowances to the payment method on file. Bretzen may change future allowances or overage rates on at least 30 days’ notice when underlying provider costs or service conditions change. The customer remains responsible for usage generated through its account, integrations, users, campaigns, and connected channels.
8 Payment Authorization, Taxes, and Failed Payments
The customer authorizes Bretzen and its payment processor to store the selected payment method and charge all setup fees, recurring fees, annual renewals, approved usage charges, overages, taxes, and other amounts described in the applicable order form. Charges are in United States dollars unless stated otherwise.
Fees exclude sales, use, value-added, withholding, telecommunications, and similar taxes or government charges unless expressly included. The customer is responsible for applicable taxes other than taxes based on Bretzen’s net income.
If payment fails or becomes overdue, Bretzen may retry the payment method, request another payment method, suspend services, restrict features, or terminate the account. Suspension does not waive amounts already due. The customer must keep billing and contact information current.
9 Customer Cooperation and Information
The customer must provide accurate, complete, current information and timely access, approvals, credentials, content, service rules, hours, pricing, appointment rules, escalation instructions, and other materials reasonably needed to configure and operate the services. The customer is responsible for reviewing the configuration and promptly reporting errors.
The customer may modify its own account configuration and is responsible for changes it makes. If a change made by the customer or its users disrupts, disables, or misconfigures a service, Bretzen will work with the customer to restore it and may charge for that work at Bretzen’s then-current rates. This does not apply to a disruption caused by Bretzen, by a third-party provider, or by a defect in the services.
Bretzen may rely on information supplied or approved by the customer. The customer is responsible for the accuracy, legality, and completeness of that information and for keeping it updated. Without limiting any other disclaimer or limitation in these Terms, Bretzen is not responsible for incorrect responses, missed opportunities, appointments, pricing statements, or other results caused by inaccurate, incomplete, outdated, ambiguous, or delayed customer information. This section identifies one situation in which Bretzen is not responsible and does not create or imply responsibility in any other situation. Bretzen’s liability in all cases remains subject to the disclaimers and the limitations of liability stated elsewhere in these Terms.
10 Artificial Intelligence Limitations
Bretzen services may use artificial intelligence to generate responses, summarize or transcribe communications, qualify leads, route conversations, schedule appointments, and perform related tasks. Artificial intelligence may misunderstand a caller, produce an incomplete or incorrect response, fail to recognize context, or act differently from a human representative. The customer must supervise the service, review important outputs, maintain reasonable escalation procedures, and keep a human alternative available when appropriate.
The services are not emergency services and must not be represented as a substitute for 911, emergency dispatch, medical care, legal advice, financial advice, or other licensed professional judgment. The customer must not use the services to make final decisions that determine a person’s eligibility for employment, housing, credit, insurance, medical treatment, legal rights, or another similarly significant opportunity without legally sufficient human review.
Bretzen does not guarantee uninterrupted operation, perfect accuracy, any number of calls or leads, appointment volume, sales, search ranking, reviews, revenue, profitability, or any other business outcome.
11 Call Recording, Messaging, and Communications Compliance
Services may record, transcribe, summarize, analyze, and store calls, chats, text messages, emails, website conversations, and other communications. The customer must provide all notices and obtain all consents required by the laws that apply to the customer, the caller, and the communication. Bretzen configures the services based on the instructions, rules, content, and approvals the customer provides. The customer is responsible for ensuring that those instructions, its use of the services, and the communications sent through its account comply with call-recording laws, the Telephone Consumer Protection Act, do-not-call rules, CAN-SPAM, messaging and carrier rules, privacy laws, advertising laws, and industry-specific requirements.
The customer is responsible for determining whether a call or message is permitted, whether consent is required, and whether records may be retained or used for the intended purpose. Bretzen may provide configurable notices or suggested wording, but does not provide legal advice and does not assume the customer’s compliance duties.
The customer must not use Bretzen services to send unlawful, deceptive, harassing, discriminatory, fraudulent, or unsolicited communications. Bretzen may suspend communications that create carrier complaints, regulatory risk, excessive opt-outs, security risk, or a threat to Bretzen or its providers.
Messaging services require brand and campaign registration with carriers and The Campaign Registry. The customer must provide accurate registration information, message only contacts who have given legally sufficient consent, honor STOP and HELP keywords, disclose message frequency and that message and data rates may apply, and comply with carrier messaging policies. Carriers may reject, filter, throttle, or suspend traffic at their discretion. Bretzen does not guarantee registration approval, message delivery, or messaging throughput.
12 Accounts, Security, and Authorized Users
The customer is responsible for maintaining the confidentiality of credentials, limiting access to authorized users, using reasonable security measures, and promptly notifying Bretzen of suspected unauthorized access. Activities performed through the customer’s account are treated as authorized unless the customer promptly reports compromise. Bretzen is not liable for loss caused by the customer’s credential sharing, insecure devices, failure to revoke access, or unauthorized acts outside Bretzen’s reasonable control.
13 Customer Content and Data
The customer retains ownership of content, contact records, business information, trademarks, images, recordings, messages, and other materials it supplies or lawfully collects through the services. The customer grants Bretzen and its service providers a nonexclusive license to host, copy, transmit, modify, display, process, and otherwise use that material only as reasonably necessary to configure, provide, secure, support, improve, and comply with law concerning the services.
The customer represents that it has all rights, permissions, notices, and consents needed for Bretzen and its providers to process customer content as contemplated by the services. Bretzen may remove or restrict material that reasonably appears unlawful, infringing, harmful, insecure, or inconsistent with these Terms.
14 Bretzen Intellectual Property
Bretzen and its licensors retain all rights in the Bretzen website, platform configuration, templates, workflows, prompts, software, documentation, methods, designs, reusable components, branding, and service improvements. Except for the limited right to use subscribed services during the paid term, no intellectual property right is transferred to the customer.
The customer may not copy, resell, sublicense, reverse engineer, bypass, scrape, interfere with, or create derivative works from Bretzen technology or confidential implementation materials, except to the limited extent a restriction is prohibited by law.
15 Website Services
For website services, the customer retains ownership of its domain name and of logos, text, photographs, and other original materials it supplies. Bretzen retains ownership of its templates, licensed assets, platform, hosting configuration, reusable code, automations, methods, and components.
Unless an order form expressly transfers additional rights, continued hosting, platform access, licensed assets, and use of Bretzen-controlled components depend on an active paid subscription. After cancellation, Bretzen may disable hosting or access at the end of the paid period. Migration, export, reconstruction on another platform, domain work, file delivery, or transfer assistance is available only when technically permitted and separately agreed and paid for. The customer is responsible for preserving copies of customer-owned content it wishes to retain.
16 Copyright Complaints and DMCA Agent
Bretzen respects intellectual property rights. A copyright owner who believes that material stored on a Bretzen-hosted website or service infringes its copyright may send a notice under the Digital Millennium Copyright Act to Bretzen’s designated agent. Bretzen’s agent is registered with the United States Copyright Office and may be reached as follows:
Designated Agent:
Copyright Manager
Bretzen LLC
43537 Ridge Park Drive
Temecula, CA 92590
Telephone: (951) 517-0393
Email: legal@bretzen.com
A notice must include the elements required by 17 U.S.C. section 512(c)(3): identification of the copyrighted work, identification and location of the material claimed to be infringing, the complaining party’s contact information, a statement of good-faith belief that the use is not authorized, a statement that the information in the notice is accurate, a statement under penalty of perjury that the complaining party is authorized to act on behalf of the copyright owner, and a physical or electronic signature. A notice that does not substantially comply with those requirements may not be effective.
Bretzen may remove or disable access to material that is the subject of a compliant notice and will notify the affected customer. A customer whose material was removed may submit a counter-notice meeting the requirements of 17 U.S.C. section 512(g)(3). Bretzen may suspend or terminate the account of a customer who is a repeat infringer.
17 Google Review and Third-Party Platform Rules
The customer must use review requests and responses in compliance with Google and other platform rules, including rules against fake reviews, misleading incentives, review suppression, and prohibited gating. Bretzen does not control whether a platform publishes, removes, filters, ranks, or displays a review or listing.
18 Third-Party Services
Bretzen services depend on third parties such as payment processors, communications carriers, messaging networks, artificial intelligence providers, website hosts, domain providers, social networks, Google services, Meta services, and HighLevel or LeadConnector. Their terms, availability, policies, pricing, and technical limits may change. Bretzen is not responsible for third-party outages, account restrictions, policy decisions, data loss, delivery failures, API changes, or acts outside Bretzen’s reasonable control.
The customer authorizes Bretzen to connect and process information through third-party accounts selected by the customer. The customer remains responsible for those accounts, permissions, charges, and compliance with the third party’s terms.
19 Confidentiality
Each Party may receive nonpublic business, technical, customer, or financial information from the other. The receiving Party will use that information only to perform or receive the services, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are subject to appropriate obligations. This section does not cover information that is public through no breach, already lawfully known, independently developed, or lawfully received from another source. A Party may disclose information when legally required after providing notice when permitted.
20 Acceptable Use
The customer may not use the website or services to violate law or third-party rights; impersonate or deceive; distribute malware; compromise security; conduct unlawful surveillance; collect information without authority; send prohibited communications; promote violence or exploitation; discriminate unlawfully; infringe intellectual property; or interfere with the service or another user. Bretzen may investigate suspected misuse and cooperate with lawful requests.
21 Cancellation, Suspension, and Termination
The customer may cancel at any time using the cancellation method stated at checkout or by emailing billing@bretzen.com. Cancellation is effective at the end of the current paid billing period unless the applicable offer states otherwise. The customer remains responsible for charges incurred before the effective cancellation date.
Bretzen may suspend or terminate a service immediately for nonpayment, fraud, security risk, unlawful or prohibited use, carrier or platform complaints, threats to systems or third parties, or material breach. For another material breach that can reasonably be cured, Bretzen may provide notice and a reasonable opportunity to cure. Bretzen may also discontinue a service on reasonable notice when continued provision becomes impracticable because of law, provider changes, or technical conditions.
22 Account Data After Termination
After termination or expiration, Bretzen may keep customer account data available for an orderly closure period of up to 90 days to resolve billing or support issues, prevent fraud, satisfy legal obligations, or allow an agreed export. Bretzen may delete or anonymize account data at any time after that period without further notice and does not guarantee retention, recovery, or export after service ends. Certain records, backups, transaction data, security logs, and evidence of consent may remain longer when reasonably necessary or required by law or provider retention practices.
The customer must request any available export before the end of the paid term or during an agreed transition period. Some platform configurations, licensed materials, recordings, integrations, or provider-controlled data may not be exportable.
23 Refunds
Refunds and credits are governed by the Bretzen Refund and Cancellation Policy, which is incorporated into these Terms. Except as stated there or required by law, setup fees, monthly charges, annual charges, usage charges, carrier fees, custom work, and third-party costs are non-refundable.
24 Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. BRETZEN DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS. BRETZEN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY SYSTEM.
25 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRETZEN AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR OPPORTUNITIES; COST OF SUBSTITUTE SERVICES; OR CLAIMS ARISING FROM MISSED CALLS, MESSAGES, APPOINTMENTS, LEADS, REVIEWS, SALES, OR THIRD-PARTY SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRETZEN’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE WEBSITE, SERVICES, OR AGREEMENT WILL NOT EXCEED THE GREATER OF $500 OR THE FEES PAID TO BRETZEN FOR THE AFFECTED SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the legal theory and apply collectively to all claims. They do not limit liability that cannot legally be limited, the customer’s payment obligations, or the customer’s indemnification obligations.
26 Indemnification
The customer will defend, indemnify, and hold harmless Bretzen and its owners, officers, employees, contractors, affiliates, licensors, and providers from third-party claims, losses, liabilities, penalties, fines, damages, costs, and reasonable attorneys’ fees arising from customer content; customer products, services, instructions, or business practices; the customer’s failure to obtain required notice or consent; unlawful calls, recordings, messages, advertising, or data use; infringement or privacy claims; misuse of the services; or breach of these Terms. Bretzen may control the defense of a claim, and the customer will reasonably cooperate. The customer may not settle a claim in a manner that admits fault by or imposes obligations on Bretzen without Bretzen’s written consent.
27 Dispute Resolution, Arbitration, and Class Waiver
Before filing a claim, a Party must send written notice describing the dispute and requested resolution. The Parties will attempt in good faith to resolve it for at least 30 days. Notices to Bretzen must be sent to legal@bretzen.com and the business address listed below.
Except for an eligible small-claims matter or a request for temporary injunctive relief concerning security, confidentiality, or intellectual property, any dispute arising from or relating to these Terms, the website, or the services will be resolved by final and binding individual arbitration under the Federal Arbitration Act. The arbitration will be administered by the American Arbitration Association under its applicable commercial rules by one arbitrator. It may occur remotely unless an in-person hearing is required. Any in-person hearing will take place in Riverside County, California, unless the Parties agree otherwise.
EACH PARTY WAIVES A JURY TRIAL. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, AND REPRESENTATIVE ACTIONS OR ARBITRATIONS ARE NOT PERMITTED. If this class waiver is found unenforceable for a particular claim, that claim must proceed in a court of competent jurisdiction and not in arbitration.
28 Governing Law
California law governs these Terms without regard to conflict-of-law rules. The state and federal courts located in Riverside County, California have exclusive jurisdiction over matters that are not subject to arbitration, and each Party consents to personal jurisdiction and venue there.
29 General Provisions
Neither Party is liable for delay or failure caused by events beyond its reasonable control, including internet, carrier, utility, platform, labor, governmental, natural disaster, cyberattack, or provider failures. The customer may not assign the agreement without Bretzen’s written consent. Bretzen may assign it in connection with a merger, financing, reorganization, sale of assets, or transfer of the service business.
The Parties are independent contractors. No partnership, employment, fiduciary, franchise, or agency relationship is created. Failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue. Headings are for convenience only.
These Terms and the incorporated documents are the complete agreement concerning their subject and supersede prior or contemporaneous statements. Changes to an order require written agreement. Bretzen may update these online Terms prospectively. Material changes affecting active paid services will be communicated by reasonable electronic notice and will take effect as stated in that notice, subject to applicable law.
An English version controls unless applicable law requires otherwise. Any translation is provided for convenience and to help the customer understand the agreement.

SCHEDULE A: USAGE ALLOWANCES AND OVERAGE RATES
Each Bretzen account includes the monthly usage allowances below, unless the customer’s order form or checkout page states different allowances. An order form may include additional allowances. The allowances are shared across all active services on the account rather than given per service. They reset at the start of each monthly billing cycle and unused amounts do not roll over.

Definitions
• AI voice minutes: time the AI agent spends in voice conversations. This covers phone calls answered by the AI Receptionist and voice conversations on the AI Chat and Voice Website Assistant.
• Phone call minutes: time on all inbound and outbound calls on the account’s phone numbers, including calls forwarded to the AI agent. A phone call handled by the AI uses both phone call minutes and AI voice minutes. A website voice conversation uses AI voice minutes only.
• AI chat replies: each message the AI agent sends by SMS, website chat, WhatsApp, Facebook, Instagram, or email. An AI reply sent by SMS also uses SMS segments.
• SMS segments: text messages sent and received are counted by segment, not by message. A message’s length, special characters, and type can turn one text message into several segments. Each MMS (picture message) counts as 3 SMS segments. SMS rates include carrier fees.
AI voice minutes and phone call minutes are rounded up to the next full minute for each call or conversation.
High-usage option. For accounts that regularly exceed the included AI allowances, an Unlimited AI plan is available on request for an additional monthly fee. It covers unlimited AI voice minutes and AI chat replies, subject to fair use. Phone call minutes, SMS, email, and the other items above remain subject to the allowances and overage rates in this schedule. Fair use means normal business use by the customer’s own business; Bretzen may review usage that is unusually high, automated, or resold, and may return the account to standard allowances with notice. Contact Bretzen for pricing.
Overage billing. Usage above the allowances is charged automatically to the payment method on file. Bretzen charges only the overage rates disclosed in this schedule. Bretzen gives at least 30 days’ notice before changing allowances or rates, and usage before a change takes effect is billed at the old rate. The customer may cancel before a change takes effect.
12 Cuentas, seguridad y usuarios autorizados

No incluido.
